TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement among Buffalo Gold Ltd. (the "Company"), its wholly owned subsidiary 6823368 Canada Inc. ("Subco") and Sargold Resource Corporation ("Sargold") dated August 31, 2007 (the "Agreement") pursuant to which the Company has agreed to acquire all of the issued and outstanding common shares, warrants and stock options of Sargold (the "Transaction"). The consideration payable by the Company is one common share, warrant and option for every 3.5 common shares, warrants, and options, respectively, held by Sargold security holders.
The Exchange has been advised that approval of the Transaction by the Sargold shareholders was received at a special meeting of the shareholders held on October 25, 2007 and that approval of the Transaction was received from the Supreme Court of British Columbia on October 29, 2007. Delisting:
In conjunction with the closing of the Transaction, Sargold has requested that its common shares be delisted. Accordingly, effective at the close of business Tuesday, October 30, 2007, the common shares of Sargold will be delisted from TSX Venture Exchange.
Insider / Pro Group Participation: None. Prior to the closing of the Transaction the Company was at arm's length to Sargold.
