TSX Venture Exchange has accepted for filing documentation with respect to a Non-Brokered Private Placement announced June 21, 2016, June 27, 2016 and June 29, 2016:

Number of Shares: 16,800,000 shares

Purchase Price: $0.25 per share

Warrants: 16,800,000 share purchase warrants to purchase 16,800,000 shares

Warrant Exercise Price: $0.35 for a two year period. The warrants have an acceleration provision such that if at any time after the expiry of the four month hold period, the 20 day volume weighted average trading price of the common shares exceed $0.50 per share, the Company may give notice to accelerate the expiry date of the warrant to a date which is not less than 30 calendar days after such notice.

Each non-transferable finder's warrant is exercisable for one share at a price of $0.35 per share for a two year period, subject to acceleration.

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the Company issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold periods on June 27, 2016 and June 30, 2016. [Note that in certain circumstances the Exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.]
