TSX Venture Exchange has accepted for expedited filing documentation pertaining to an Assignment and Assumption Agreement dated February 19, 2015 between StrikePoint Gold Inc. (the 'Company') and Entourage Metals Ltd. ('Entourage'), whereby Entourage has assigned all of its rights under an existing option agreement dated February 28, 2011, as amended February 26, 2013 and February 28, 2014 to acquire a 100% interest in and to the Black Raven Property which comprises 33 mining claims covering 6,640 hectares in the New Smoke Lake Property area of NW Ontario. In consideration, the Company will make cash payments totalling $50,000 and issue a total of 1,700,000 shares as follows:
CASH SHARES
Year 1 $25,000 1,100,000
Year 2 $25,000 100,000
Thereafter 500,000 shares 15 days following completion and filing of a NI 43-101 compliant resource of at least 500,000 ounces of gold or equivalent.
The property is subject to a 2.5% net smelter return royalty payable upon commencement of commercial production. The Company may repurchase a 1.5% NSR royalty at any time for $1.5 million.
