The TSX Venture Exchange (the "Exchange") accepts for filing documentation pursuant to a Share Purchase Agreement, (the "Agreement") between the Company (the "Purchaser") and PentaNova Energy Inc Corp (formerly PMI Resources Ltd)(the "Vendor").
As per the terms of the agreement, the Purchaser will acquire two Luxembourg subsidiaries which hold an 100 percent working interest in two hydrocarbon licenses in southwest France, known as Ledeuix and Ger, consisting of approximately 171,250 acres.
Under the SPA, the Vendor agreed to invest $1.5 million in to Horizon by way of a private placement.
