The TSX Venture Exchange has accepted for filing the Company's Reverse Takeover ('RTO'), which includes the following transactions:
The Acquisition Agreement dated March 30, 2017 (the "Agreement") between PMI Resources Ltd (the "Company") and PentaNova Energy Corp. ("PentaNova") relating to a reverse takeover transaction pursuant to which the Company acquired all of the issued and outstanding shares in the capital of PentaNova (each, a "PentaNova Share") in exchange for the issuance of common shares in the capital of the
Company (the "Transaction").
In consideration of the transaction the Company will issue to PentaNova shareholder, 161,641,560 common shares of the Company.
Finder's Fee: 1,600,000 shares payable to Fiore Management and Advisory Corp.
The Exchange has been advised that the above transactions, approved by the directors of PMI by directors resolution dated March 29, 2017, and by the shareholders of PentaNova on March 30, 2016, have been completed.
The Company is classified as an 'Oil & Gas' company.

Further to the TSX Venture Exchange ('TSXV') Bulletin dated February 28, 2017, trading in the shares of the Company will remain halted pending receipt and review of acceptable documentation regarding the Fundamental Acquisition pursuant to Listings Policy 5.6(d) of Exchange Policy 5.3.
