TSX Venture Exchange has accepted for filing documentation pursuant to a Property Option Agreement dated May 28, 2014 (the "Agreement") between the Company and Guatavita Gold Corporation (the "
Vendor"). As per the terms of the Agreement, the Vendor can earn up to a 50% interest in the Tell Property, located in the Yukon, by funding 65% of the exploration expenditures on the property with the Company funding the remaining 35%. Upon earning its 50% interest, a joint venture will be formed with the Company. This is a non-arm's length transaction as the Company and the Vendor have two common directors/officers.
