TSX Venture Exchange has accepted for filing documentation with respect to a Non-Brokered Private Placement announced January 19, 2016:
Convertible Debenture $500,000
Conversion Price Convertible into units at $0.35 of principle per unit until maturity. Each unit is comprised of one common share and one-half share purchase warrant.
Maturity Date one year from issuance
Interest Rate 8% per annum
Warrants: 714,285 share purchase warrants attached to purchase 714,285 shares
Warrant Exercise Price: $0.50 for a one year period
Number of Placees: 1 Placee
Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the Company has issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s). Note that in certain circumstances the Exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
