TSX Venture Exchange has accepted for filing a Subscription Agreement, dated January 31, 2014, between Sage Gold Inc. (the "Company") and Global Resources Investment Trust plc. ("GRIT") - an investment trust registered in England and Wales and listed on the London Stock Exchange's main market, whereby the Company will acquire 165,975 ordinary shares of GRIT at a deemed price of #1.00 per share in exchange for 6,000,000 units of the Company at a deemed value of CDN$0.05 (or #0.0277) per unit.
Each unit of the Company issued to GRIT will consist of one common share and one common share purchase warrant, exercisable at CDN$0.05 for a five year period.
