TSX Venture Exchange has accepted for filing a Share Exchange Agreement dated February 5, 2016 between Moseda Technologies Inc. (the Company) and CareKit Health Corp. (the Vendor) whereby the Company may acquire all the outstanding shares of the Vendor. Consideration is 600,000 common shares and 9,400,000 share purchase warrants. The shares will be held in escrow for 18 months from closing. Each warrant is exercisable into one common share at $0.20 for 3 years from closing, subject to a 2 year vesting schedule based on performance goals.
