Pursuant to a Directors Resolution dated August 9, 2017 it was resolved that:
(a) The Company's common shares will be sub-divided on a One (1) old for One and a Quarter (1.25) new basis
(b) The Company's name will be changed from Jaxon Minerals Inc. to Jaxon Mining Inc.
Effective at the opening August 30, 2017, the common shares of Jaxon Mining Inc. will commence trading on TSX Venture Exchange on a sub-divided basis, and the common shares of Jaxon Minerals Inc. will be delisted.
The Company is classified as a 'mineral exploration development' company.

Capitalization: unlimited shares with no par value of which
64,962,958 shares are issued and outstanding

Transfer Agent: Computershare Trust Company of Canada

Letters of Transmittal will be used to effect this share sub-division. Letters of Transmittal were mailed to shareholders to return their present share certificates in exchange for new share certificates.
