TSX Venture Exchange (the "Exchange") accepts for filing documentation pursuant to an Agreement of Purchase and Sale dated June 16, 2015 (the "Agreement") between the Company and Tecpetrol International S.A. and Tecpetrol International S.L (Unipersonal) (collectively, the "Purchasers" and each a "Purchaser"). The company has agreed to sell and assign to the Purchasers all of the common shares in the capital of its subsidiary Americas Petrogas Argentina S.A. ("APASA") and certain intercompany indebtedness owing by APASA to the Issuer and the Issuer's other subsidiaries. In consideration for the transaction, the Purchasers will pay an aggregate cash purchase price of US $63 million, subject to adjustment in accordance with the terms of the Sale Agreement. Of the total consideration, US$20 Million will be allocated to the APASA common shares and US$43 Million will be allocated to intercompany Indebtedness.
