Property-Asset or Share Purchase Agreement:
TSX Venture Exchange (the "Exchange") has accepted for filing documentation pertaining to Sandspring Resources Ltd. (the "Company") acquisition of the rights to a 386 hectare land package located in Colombia (the "Chicharron Project").
The Chicharron Project was previously held via an unincorporated joint venture arrangement between Industrias Argentum S.A.S and a subsidiary of Gran Colombia Gold Corp.
Consideration for the Chicharron Project is the issuance of 36,000,000 shares of the Company and a cash payment of US$1,000,000.
Insider / Pro Group Participation: Shareholders of GA Mine Corp., which held an option to acquire a 70% interest in the joint venture agreement, received an aggregate 21,000,000 of the consideration shares. Gordon Keep, a director of the Company, received 1,500,000 of these shares as a minority shareholder of GA Mine Corp.
