Effective at the close of business on Wednesday, March 30, 2011, the common shares of Armadillo Resources Ltd will be delisted from TSX Venture Exchange (the "Exchange") at the request of the Company.
As previously announced on October 21, 2010, the Company has entered into an agreement with Rusheen Handels AG to acquire 99% of the issued and outstanding shares of Amazonia Capital e Pariticpacoes Ltd., a Brazilian corporation which holds properties in Brazil (the "Acquisition"). The Acquisition is deemed a reverse takeover ("RTO") under Exchange policy and is subject to a number of conditions, including but not limited to, Exchange acceptance.
The Company has failed to secure Exchange acceptance of the RTO and is therefore seeking to delist its shares from the Exchange in order to proceed with the Acquisition on the Canadian National Stock Exchange (CNSX) on which it was listed on February 8, 2011.
