Effective October 20, 2014, the Company's Short Form Prospectus dated October 6, 2014, was filed with and accepted by TSX Venture Exchange (the "Exchange"), and effective October 6, 2014 was filed with and receipted by the British Columbia, Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island, Ontario, Newfoundland and Labrador Securities Commission, pursuant to the provisions of the respective Securities Acts.
TSX Venture Exchange has been advised that closing occurred on October 15, 2014 for gross proceeds of $5,040,000 (no over-allotment option exercised to date).
Underwriters: Beacon Securities Limited, including Paradigm Capital Inc.
Offering: 8,000,000 common shares
Share Price: $0.63 per share
Underwriters' Fee: A cash fee equal to 7% of the gross proceeds raised and broker warrants of 7% of the shares sold shall be paid to the Underwriters. Each broker warrant is exercisable into one common share at a price of $0.63 for a one year period.
Over-Allotment Option: The Underwriters have been granted an over-allotment option of the shares in connection with this offering. The Underwriters were granted an option to arrange for the sale of up to an additional 1,200,000 common shares (being 15% of that number of shares sold pursuant to the offering), at any time up to 30 days after the closing of the offering. The above noted Underwriters' Fee is also applicable to the Over-Allotment Option.
