Effective May 19, 2023, the Company filed a prospectus supplement to the Company's short form
base shelf prospectus dated February 24, 2023. The prospectus supplement was filed with and accepted
by TSX Venture Exchange, and filed with and receipted by each of the provinces and territories of
Canada Securities Commissions, other than Quebec, pursuant to the applicable Securities Acts in
each of the provinces and territories of Canada, other than Quebec.
The Exchange has been advised that the closing of the offering occurred on May 26, 2023 (the "Closing Date"), for aggregate gross proceeds of $4,608,505 (including gross proceeds from the full exercise of the over-allotment option).
Offering: 15,000,000 shares and 21,800,000 flow-through shares
Share Price: $0.10 per share and $0.115 per flow-through share
Agent: Paradigm Capital Inc. and Agentis Capital Markets Limited Partnership
Agent's Commission: Cash commission of $276,483
Over-allotment Option: The Agents were granted an option (the "Over-Allotment Option") to purchase up to an additional 15% of the Offered Shares sold pursuant to the Offering, for a period of 30 days from and including the Closing Date. The Over-Allotment Option was fully exercised on the Closing Date for 2,110,000 shares and 3,391,739 flow-through shares.
