TSX Venture Exchange has accepted for filing the documentation relating to a share purchase agreement dated December 31, 2012, in connection with the acquisition of all of the issued and outstanding shares of Bio-Research Products, Inc. The consideration payable by the Company consists of the payment of: (i) US$2,000,000 in cash; and (ii) future earn out based on sales objectives up to a maximum of US$700,000 in cash. In connection with the transaction, US$100,000 was paid to a consultant and was deducted from the purchase price.

Bourse de croissance TSX a accepte le depot de documents relativement a une convention d'acquisition d'action datee du 31 decembre 2012, concernant l'acquisition par la societe de toutes les actions emises et en circulation de Bio-Research Products, Inc. La consideration payable par la societe consiste au paiement de : (i) 2 000 000 $ US en especes; et (ii) des paiements additionnels conditionnels a l'atteinte de certains objectifs de ventes jusqu'a un maximum de 700 000 $ US en especes. Un montant de 100 000 $ US a ete paye a un consultant dans le cadre de la transaction et ce montant a ete deduit du cout d'acquisition.
