TSX Venture Exchange (the 'Exchange') has accepted for filing a purchase and sale agreement dated September 29, 2014 (the 'Agreement'), among Santa Barbara Resources Limited. (the 'Company') and ERCED S.A.C. ('ERCED'), a privately owned Peruvian entity. Pursuant to the Agreement, the Company has granted ERCED the option to acquire the Company's wholly owned subsidiary, Santa Barbara Resources Peru S.A.C.
The terms of the Agreement requires that ERCED:
1. Pay the Company US$615,000 on signing the agreement with ERCED (received); and
2. Pay the Company US$615,000 on closing of the transaction.
