TSX Venture Exchange has accepted for filing a share exchange agreement dated May 24, 2016 (the 'Agreement') between the Company and High Power Ventures Inc. (the 'Vendor'). Pursuant to the terms of the Agreement, the Company will merge two of its subsidiaries with two subsidiaries of the Vendor and thereby acquire seven mineral exploration licenses and two new license applications covering over 1,500 square kilometres in Mongolia (the 'Property'). By way of consideration, the Company will issue 5,895,000 shares at a deemed price of $0.225 per share and issue 2,947,500 warrants exercisable at $0.54 for two years.
