TSX Venture Exchange has accepted for filing documentation pursuant to a Share Purchase Agreement (the "Agreement") between the Company and Penco Oil and Gas Ltd. ("Penco"), a Non-Arms Length Party, whereby the Company will acquire all the common shares of Penco. Under the terms of the Agreement, Pence shareholders shall receive in aggregate 6,153,948 common shares of the Company ("Shares") at a deemed price of $0.05 per Share.
