TSX Venture Exchange has consented to the amendment of the following convertible debentures:
Convertible Debenture $6,255,484 is held by One Heart International Limited and $2,853,783 is held by Imphosoft Pte Ltd.
Original Conversion Price The conversion price of the convertible debentures was fixed at $0.10 and will not change with the amendment
Original Maturity Date The maturity date was fixed for September 28, 2015 and will not change with the amendment
Original Debenture Terms Convertible into common shares prior to maturity at $0.10 per share, subject to (i) a holder not holding more than 10% of the then issued and outstanding shares of the Company; and (ii) a holder, together with any person with which it is acting jointly or in concert, not holding 20% or more of the then issued and outstanding shares of the company.
Amended Debenture Terms Convertible into common shares prior to maturity at $0.10 per share
The convertible debenture was issued pursuant to a RTO which was originally accepted for filing by the Exchange effective October 2012.
