TSX Venture Exchange has accepted for filing Altan Nevada Minerals Limited's (the "Company") Qualifying Transaction described in its Filing Statement dated November 14, 2011. As a result, at the opening on Tuesday, December 20, 2011, the Company will no longer be considered a Capital Pool Company. The Qualifying Transaction includes the following:
1. Qualifying Transaction Completed:
The Company has completed a three-cornered amalgamation with Altan Nevada Minerals Limited ("Altan NV"), in which 0912570 B.C. Ltd., a wholly-owned subsidiary of the Company, amalgamated with Altan Nevada (the "Amalgamation"). Upon the Amalgamation, the Company issued 32,500,000 common shares at a deemed price of $0.40 per share and 8,633,293 common share purchase warrants to the shareholders of Altan NV. The particulars can be accessed through the Company's Filing Statement which has been posted to SEDAR.

The Exchange has been advised that the above transaction was approved by shareholders August 19, 2011.

TSX Venture Exchange has accepted for filing documentation with respect to a Non-Brokered Private Placement announced in connection with the Qualifying Transaction June 22, 2011:

Warrants: 1,250,000 share purchase warrants to purchase 1,250,000 shares
Warrant Exercise Price: $0.50 for a two year period
If at any time after the closing of the private placement, the volume weighted average price of the Company's shares is greater than $0.80 for a period of 30 consecutive days, the Company may provide notice to warrant holders that the exercise period will be shortened to 30 days from the date of notice.

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the Company must issue a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s). The Company must also issue a news release if the private placement does not close promptly. Note that in certain circumstances the Exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
3. Name Change, Consolidation and Reinstated for Trading:
Pursuant to a resolution passed by shareholders August 19, 2011, the Company has consolidated its capital on a 2.5 old for 1 new basis. The name of the Company has also been changed as follows.
Effective at the opening, Tuesday, December 20, 2011, the common shares of Altan Nevada Minerals Limited will be reinstated for trading on TSX Venture Exchange, and the common shares of VLM Ventures Ltd. will be delisted. The Company is classified as a 'Gold Mining' company.
