TSX Venture Exchange has accepted for filing an Option to Purchase Agreement dated July 1, 2013 between CapGain Holdings Inc., CapGain Properties Inc.'s (the "Company") wholly owned subsidiary, and Win Capital Group LLC ("Win", John Taylor), whereby the Company has the option to purchase 29.57% of Win's ownership interest in Orlando MF Partners LLC, which owns the properties located in Orlando, Florida. In consideration, the Company will pay $614,556 in cash and issue 1,083,600 warrants exercisable at $0.10 per share until July 1, 2015.
