TSX Venture Exchange Inc. (the 'Exchange') has accepted for filing documentation pertaining to a share purchase agreement (the 'Agreement') dated October 5, 2015, between Discovery Ventures Inc. ('Discovery') and Roca Mines Inc. ('Roca'), pursuant to which Roca has agreed to sell to Discovery the remaining 65% of the share capital (the 'Remaining Interest') of FortyTwo Metals Inc. ('FortyTwo') that Discovery does not already own. As consideration for the shares, Discovery will:
1. pay $200,000;
2. issue 3,000,000 common shares;
3. issue 3,000,000 warrants, each warrant exercisable to acquire one common share in the capital of Discovery at a price of $0.15 per share for a period of five years; and
4. assume all existing liabilities of FortyTwo.
Pursuant to the Agreement, the original terms to acquire the Remaining Interest under the option agreement dated November 4, 2013 between Discovery, Roca and FortyTwo, being a $3,300,000 payment and issuance of 2,500,000 shares of Discovery will be terminated.
