Effective at the close of business on Wednesday, March 20, 2019, the common shares of LSC Lithium Corporation ("LSC") will be delisted from TSX Venture Exchange. The delisting of LSC shares results from the completion of a court-approved Plan of Arrangement under the Business Corporations Act (British Columbia) (the "Arrangement"), pursuant to an Arrangement Agreement dated as of January 14, 2019, between LSC and Pluspetrol Resources Corporation B.V. ("Pluspetrol"), whereby Pluspetrol has acquired all of the issued and outstanding common shares of LSC.
The Arrangement was approved by LSC shareholders on March 8, 2019 and approved by the Supreme Court of British Columbia on March 13, 2019. Under terms of the Arrangement, LSC shareholders will receive $0.6612 in cash for each LSC common share held.
