TSX Venture Exchange has accepted for filing the documentation relating to the purchase for cancellation of 31,370,400 common shares ("Common Shares") of the EPM Mining Ventures Inc. (the "Company") in exchange for the issuance of 31,370,400 non-voting common shares ("Non-Voting Shares") of the Company.
Following completion of the transaction, there will be 76,923,057 Common Shares and 36,302,832 Non-Voting Shares issued and outstanding on a non diluted basis.
The Non-Voting Shares are convertible into Common Shares on a one-for-one basis at the holder's discretion.
The transaction was effected to assist the Company to achieve its "foreign private issuer" status under applicable United States securities laws.
