Property-Asset or Share Purchase Agreement
TSX Venture Exchange (the "Exchange") has accepted for filing the purchase agreement dated July 21, 2016 (the "Agreement") between Carolina Capital Corp. (now Broadway Gold Mining Ltd - the "Company) and Coronado Resources Ltd. ("Coronado"). Pursuant to the Agreement, the Company has acquired a 100% interest in the Madison property, Montana (the "Property").
Consideration for the Property is as follows:

Effective at the opening Tuesday, October 18, 2016 the common shares of Broadway Gold Mining Ltd. will commence trading on TSX Venture Exchange, and the common shares of Carolina Capital Corp. will be delisted. The Company is classified as a 'Mineral Exploration/Development' company.
