By Certificate of Amalgamation dated May 8, 2019, the Company and 1173240 B.C. Ltd. (a company incorporated by D&S International Investments Limited ("D&S"), a Control Person of the Company) have amalgamated to form a successor company ("Amalco"), whereby holders of the Company's common shares (other than D&S and certain shareholders who signed a support agreement (the "Supporting Shareholders")) will receive for each common share one Class A preferred share of Amalco ("Amalco Class A Preferred Share") and each Amalco Class A Preferred Share is being redeemed for CDN $0.12 in cash (the "Redemption Amount"). Registered and non-registered shareholders should refer to the Company's information circular dated February 19, 2019, and the Letter of Transmittal which are available under the Company's profile on SEDAR, for instructions regarding how to receive the Redemption Amount.
Subsequent to the delisting of the common shares and the issuance of an order sought from the BC Securities Commission that Amalco is no longer a reporting issuer, Amalco will be a private company that is wholly-owned by D&S and the Supporting Shareholders.
Effective at the close of business May 13, 2019, the common shares of the Company will be delisted from TSX Venture Exchange at the request of the Company.
