Conversion Price: Convertible into common shares at CDN$0.50 of principle amount outstanding per share until maturity

First Amended Maturity Date: June 30, 2017
Second Amended Maturity Date: December 29, 2017
Third Amended Maturity Date: June 29, 2018
Interest Rate: 12% per annum
The convertible debenture was issued pursuant to a private placement which was originally accepted for filing by the Exchange effective July 24, 2015.
