TSX Venture Exchange (the "Exchange") has accepted for filing the documentation relating to an arm's-length acquisition agreement dated November 22, 2016, pursuant to which the Company can acquire the remaining 45% interest in the Malartic Property (24 mining claims in the Malartic mining camp), in consideration of the issuance of 2,000,000 common shares and a cash payment of $200,000.
The Exchange has also accepted the addendum dated November 22, 2016 to the option agreement dated June 12, 2015 pursuant to which the Company had the option to acquire a 55% interest in the Malartic Property. Pursuant to the addendum, the total of required exploration works was reduced from $1,000,000 to $350,000.
Upon the acquisition of a 100% interest in the Malartic Property, the Company will grant a 1% net smelter return (NSR) to the Vendor

Bourse de croissance TSX (la " Bourse ") a accepte le depot de documents relativement a une convention d'acquisition datee du 22 novembre 2016 intervenue aupres d'une personne n'ayant aucun lien de dependance avec la societe, visant l'acquisition d'un interet residuel de 45 % dans la propriete Malartic (24 claims miniers situes dans le camp minier Malartic), en consideration de l'emission de 2 000 000 d'actions ordinaires et du paiement en especes de 200 000 $.
La Bourse a egalement accepte l'addendum a la convention d'option datee du 12 juin 2015, visant l'acquisition d'un interet de 55 % dans la propriete Malartic. En vertu de l'addendum, le total des travaux d'exploration requis a ete diminue de 1 000 000 $ a 350 000 $.
Suite a l'acquisition d'un interet de 100 % dans la propriete Malartic, la societe octroiera un royaute " NSR " de 1% au vendeur.
