Prospectus-Share Offering
Effective May 20, 2021, the Company's short form base shelf prospectus (the "Prospectus") dated May 10, 2021, was filed with and accepted by TSX Venture Exchange (the "Exchange"), as supplemented by a prospectus supplement dated May 17, 2021 (the "Prospectus Supplement"). The Prospectus was filed with and receipted by the British Columbia Securities Commission pursuant to the provisions of the Securities Act (British Columbia). The receipt also evidenced that the Ontario Securities Commission has issued a receipt for the Prospectus. The Prospectus was filed under Multilateral Instrument 11-102 Passport System (the "Instrument") in Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island and Newfoundland and Labrador and a receipt for the Prospectus is deemed to be issued by the regulator in each of those jurisdictions, if the conditions of the Instrument have been satisfied.
The Exchange has been advised that closing occurred on May 19, 2021, for gross proceeds of $12,195,121.
Offering: 19,992,003 units (each, an "Offered Unit") of the Company.
Unit Price: $0.61 per Offered Unit. Each Offered Unit consists of one common share of the Company (each, a "Common Share") and one common share purchase warrant of the Company (each, a "Warrant"). Each Warrant entitles the holder to purchase one Common Share at an exercise price of $0.76 per Common Share at any time on or prior to May 18, 2024.

Finder's warrants: An aggregate of 999,600 common share purchase warrants ("Broker Warrants") of the Company were issued on closing the Offering. Each Broker Warrant entitles the holder to purchase one Common Share (a "Broker Warrant Share") at an exercise price per Broker Warrant Share of $0.61 per Broker Warrant Share until 36 months after the closing date.
