Alteration in Capital
Pursuant to a resolution passed by shareholders on May 19, 2015, the Company has amended the capital structure to re-designate the subordinate voting shares (the "Subordinate Voting Shares") into common shares ("Common Shares") and exchanged the multiple voting shares (the "Multiple Voting Shares") into Common Shares on a one-for-one basis.
Effective at the opening on Thursday, May 28, 2015, the Subordinate Voting Shares of the Company will be delisted and will no longer trade under the symbol "OEG.A" and shall trade as common shares under the symbol "OEG".

Consolidation
Pursuant to the a resolution passed by shareholders on May 19, 2015, the Company has also consolidated its capital on the basis of 10 (ten) existing common shares for 1 (one) new common share. The name of the Company has not been changed.
Effective at the opening on Thursday, May 28, 2015, the common shares of ONEnergy Inc. will commence trading on TSX Venture Exchange on a consolidated basis. The Company is classified as a 'Natural Gas Distribution' company.
