Property-Asset or Share Disposition Agreement:
TSX Venture Exchange Inc. (the "Exchange") has accepted for filing an assignment agreement dated February 15, 2018, (the "Agreement") between Smooth Rock Ventures Corp. (the "Company") and Texas General Oil & Gas, LP. ("Texas Oil")
Pursuant to the Agreement, the existing escrow agreement with Texas Oil will be cancelled. Accordingly, Texas Oil will forfeit 6,953,032 common shares and 100 preferred shares in the Company in exchange for the release of the US$2,000,000 from escrow to Texas Oil.
In addition, the Company will transfer all of its beneficial rights and claims in the Days Chapel project to Texas Oil.
