Plan of Arrangement
Pursuant to special resolutions passed by the holders of Convertible Preference Shares, Series "A" (the 'Preferred Shares') in the capital of Imperial Ginseng Products Ltd. (the 'Company'), the Company's plan of arrangement under Section 288 of the Business Corporations Act (British Columbia) will become effective on Wednesday, June 24, 2015, and will result in the holders of the Preferred Shares exchanging the Preferred Shares for the issuance of 650,192 common shares in the capital of the Company and cash consideration in an aggregate amount of $181,371.
Delist
Effective at the close of business, Tuesday, June 23, 2015, the Preferred Shares of the Company will be delisted from TSX Venture Exchange at the request of the Company.
