TSX Venture Exchange has accepted for filing the Company's proposal to issue up to a maximum of 7.5% bonus shares and 7.5% bonus warrants to a lender pursuant to the terms of a loan agreement dated June 1, 2016. In no event shall the issuance of bonus securities result in the issuance of more than 996,117 bonus shares and 996,117 bonus warrants to the following Insider in consideration of a loan of US$2,965,000 to be issued in tranches. A floor price of CAD$0.29 has been set for calculating the number of bonus shares and warrants issuable in respect of each tranche. The warrants will have an exercise price no lower than CAD$0.29 and will expire on the earlier of December 31, 2018 and the repayment date.
