NOTICE DATE: January 10, 1997
By Certificate of Amalgamation to be issued by the Registrar of Companies on January 10, 1997, Winspear
Resources Ltd. and Antler Resources Ltd. have amalgamated on the following basis:
1. The holders of common shares of Winspear will be entitled to receive one common share of the
Amalgamated Company for each one common share held.
2. The holders of common shares of Antler will be entitled to receive 2< common shares of the
Amalgamated Company for each one common share held.
3. The holders of the Series "A" Warrants of Antler will be entitled to receive 2< Warrants of the
Amalgamated Company for each warrant held, which will entitle each Amalgamated Company Warrant
and $1.875 to acquire one Amalgamated common share.
Effective at the opening January 13, 1997, the common shares of Winspear ('Amalgamated Company') will
be posted and called for trading on the Vancouver Stock Exchange and Common Shares and Series A
Warrants of Antler will be delisted. The Company is classified as a "Venture" company.

26,257,437 common shares are issued and outstanding
