Number of Shares: 20,309,182 special warrants. Each special warrant shall automatically convert into one unit comprised of one common share and one share purchase warrant upon the earlier of (i) four months and a day after closing of the private placement; and (ii) the receipt of a final prospectus qualifying the distribution of the shares and warrants underlying the units.
Purchase Price: $0.055 per special warrant

Warrant Exercise Price: $0.07 for a two year period
