Effective at the close of business, Friday, September 13, 2013, the common shares of Orsa Ventures Corp. will be delisted from TSX Venture Exchange. The delisting of the Company's shares results from the Arrangement Agreement (the "Arrangement") dated July 22, 2013 among Orsa Ventures Corp. (the "Company"), Alamos Gold Inc. ("Alamos") and 0975828 B.C. Ltd. a wholly owned subsidiary of Alamos (the "Purchaser") whereby the Purchaser will acquire all of the Company's shares for cash consideration of $0.10 per Company share (the "Consideration"). All outstanding options to acquire the Company shares ("Orsa Options") will be cancelled and each holder of Orsa Options will be entitled to receive a cash payment equal to the amount by which $0.10 exceeds the applicable exercise price for each Orsa Option held.
The Arrangement was approved by the Company's shareholders on September 11, 2013, and received final court approval on September 12, 2013.
