TSX Venture Exchange has accepted for filing a Debt Set-Off and Property Transfer Agreement dated May 3, 2010 between Caravel Management Corp. ('Caravel') and the Company. The Company will retire and set-off $1,200,000 of its debt owing to Caravel by assigning and transferring all of its right, title and interest in and to the Freegold Claims located in the Yukon Territory to Caravel or Caravel's nominees. The remaining balance of the debt will be $1,593,542 owed by the company to Caravel.
This transaction was approved by a majority of disinterested shareholders at the Company's June 22, 2010 Annual General and Special Meeting of Shareholders.
