TSX Venture Exchange has accepted for filing an agreement (the "Exchange Agreement") dated May 30, 2013 between Majestic Gold Corp. (the "Company"), Yantai Zonghjia Mining Co. Ltd. ("JVCo"), a subsidiary of Majestic and Yantai Dahehong Processing Co. Ltd. ("Dahedong"). Dahedong will exchange its 25% interest in the net profits of the Company's Chinese subsidiary, JVCo, for a 25% working interest in JVCo.
