Plan of Arrangement
Pursuant to a special resolution passed by the shareholders of the Company on July 24, 2018, the Company and Metalla Royalty & Streaming Ltd. ("Metalla") have completed a plan of arrangement under the Business Corporations Act (British Columbia). The Plan of Arrangement is to be completed on July 31, 2018, and will result in Metalla acquiring all of the issued and outstanding shares of the Company in exchange for Metalla issuing 0.1667 of a share for each share of the Company held.

Delisting
In conjunction with the closing of the Arrangement, the common shares of the Company will be delisted from the Exchange. Accordingly, the Company's shares will be delisted from the Exchange effective at market close on August 1, 2018.
