TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with an arrangement agreement between Barkerville Gold Mines Ltd ("Barkerville") and Williams Creek Gold Limited ("Williams Creek") dated April 29, 2016 (the "Agreement"). Pursuant to the Agreement Barkerville has agreed to acquire all of the issued and outstanding common shares of Williams Creek by way of a plan of arrangement under the provisions of the Business Corporations Act (British Columbia) (the "Transaction"). Under the Agreement, each Williams Creek shareholder will be entitled to receive 0.062352572 common shares of Barkerville for each common share of Williams Creek held.
The Exchange has been advised that approval of the Transaction by the Williams Creek shareholders was received at a special meeting of shareholders held on August 8, 2016 and that approval of the Transaction was received from the British Columbia Supreme Court on August 11, 2016. The Transaction completed on August 16, 2016. Delisting:
In conjunction with the closing of the Transaction, Williams Creek has requested that its common shares be delisted. Accordingly, effective at the close of business, Tuesday, August 16, 2016, the common shares of Williams Creek will be delisted from the Exchange.
Insider / Pro Group Participation: None. Prior to the closing of the Transaction Barkerville and Williams Creek were at arm's length.
